Circle, Tuesday 8 September: a definitive agreement to buy Tazapay, Singapore, B2B cross-border rails. The press release does not name a price. The 8-K and the share purchase agreement, dated 4 September, do: Base Purchase Price $400,000,000, in Class A common stock. VWAP of the 20 sessions before close. Adjusted for debt, cash, expenses. This is not a close. Target: 2027. MAS, among others.

Tazapay, Circle says: more than $25 billion in annualized payment volume, 60+ banks and fintechs, local payouts in 100+ markets. About 60% of volume already includes stablecoins. Design partner of the Circle Payments Network since 2025. We quote. We do not invent a SWIFT clone. The DBS–Citi weekend is another thread.

A rail, not a close

Irfan Ganchi, SVP Payments, same release: APAC, emerging markets, near-instant 24/7 payments, a step toward USDC as the “default payment rail” for cross-border. That is a goal. Not a survey. Rahul Shinghal, Tazapay co-founder and CEO: Circle has “the dollar infrastructure in USDC and the regulatory standing.” Customers, Circle pledges, see no break in APIs, pricing, support. We do not write a consummated merger.

CoinDesk places the ticket among Circle’s largest public buys since Poloniex, 2018. Hashnote / USYC, Elements, Malachite, IBM patents: other deals, other numbers. Here the 8-K holds $400m. NYSE: CRCL. Nothing here is advice to buy the stock.

What $400 million does not buy yet

Without MAS, no close. Without a close, no Circle volume. The $25 billion and the 60% stablecoin are Tazapay, as of 31 July 2026 in several relays, annualized — not audited cash-flow for Circle. USDC has not become the default rail. The 21 banks aim at 2027 for an on-chain dollar: same calendar, another table. We set both down. We do not merge them.
